Former Attorney General of Louisiana Charles C. Foti, Jr., Esq. and the law firm of Kahn Swick & Foti, LLC (“KSF”) are investigating the proposed merger of Victory Capital Holdings, Inc. (NasdaqGS: VCTR) and First Eagle Investments. Under the terms of the proposed transaction, Victory Capital will acquire First Eagle for total consideration of approximately $7.0 billion, comprising approximately $4.4 billion in cash and $2.0 billion in newly issued Victory Capital equity. In addition, Victory Capital will assume $575 million of First Eagle's existing 7.25% senior secured notes due 2032. KSF is seeking to determine whether the merger and the process that led to it are adequate, or whether the merger is fair to Victory shareholders.
